PROPOSED CONSOLIDATION OF SHARE CAPITAL
MELBOURNE, Australia – Parkway Corporate Limited (Parkway or the Company) (ASX: PWN, FSE:
4IP) is pleased to advise that the Board will seek shareholder approval at the Company’s Annual
General Meeting (AGM) on 25 November 2026 to consolidate the issued share capital of the Company
on a 100 to 1 basis (Consolidation). Under the Consolidation, every one hundred (100) existing fully
paid ordinary shares in the Company will be converted into one (1) fully paid ordinary share.
Alongside its strong financial performance, including FY26 revenue of $19.9 million (31% higher than
FY25) Parkway is expanding its role as a developer of innovative, technology-based industrial
wastewater treatment solutions. As Parkway continues to grow, effective engagement with industry and
the investment community is increasingly important.
The Company currently has 2,776,410,555 shares on issue. Despite the strong growth of Parkway in
recent years, this is a relatively large number of shares to have on issue and in the assessment of the
Board subjects the Company to several significant disadvantages.
The decision to propose a share Consolidation has been informed by consistent feedback from major
shareholders of the Company, particularly international shareholders, as well as prospective
institutional investors considering investment in the Company.
The proposed Consolidation is expected to result in:
▪ Simplified capital structure with reduced trading inefficiencies.
▪ More appropriate capital structure that is aligned with comparable ASX-listed companies.
▪ Share price that is more attractive to a wider range of investors, particularly institutional and
international investors.
▪ Improved market perception.
If the Consolidation is approved, following completion the Company anticipates that it will have
approximately 27,764,106 Shares on issue (subject to the effects of rounding).
As the Consolidation applies equally to all Shareholders, individual holdings will be reduced in the same
ratio as the total number of Shares (subject to rounding), therefore the Consolidation will have no
material effect on the percentage interest of each individual shareholding in the Company.
If the Consolidation is approved, then in accordance with ASX Listing Rules 7.21 and 7.22, all Options
and Performance Rights currently on issue by the Company will be consolidated in the same ratio as
the Shares, and the exercise price of Options will be amended in the inverse proportion to that ratio.
The Parkway Board unanimously recommends that shareholders vote in favour of the proposed
Consolidation.
